HB 1741 -- BOARD MEETINGS OF CORPORATIONS SPONSOR: Pratt COMMITTEE ACTION: Voted "do pass" by the Special Committee on General Laws by a vote of 9 to 2. Currently, any action that must be taken at a meeting of a board of directors or the executive committee of a corporation can be done without a meeting if all the members of the board consent in writing to the action. This bill also allows the consent to be by electronic transmission. FISCAL NOTE: No impact on state funds in FY 2011, FY 2012, and FY 2013. PROPONENTS: Supporters say that the bill allows corporate boards in Missouri to act by unanimous consent using electronic transmissions so members will not need to be physically present in the same location. This is already allowed in most other states. Testifying for the bill was Representative Pratt.
