Summary of the Truly Agreed Version of the Bill

HB 1741 -- BOARD MEETINGS OF CORPORATIONS

(Vetoed by the Governor)

Currently, any action that must be taken at a meeting of a board
of directors or the executive committee of a corporation can be
done without a meeting if all members of the board consent in
writing to the action.  This bill also allows the consent to be
by electronic transmission and specifies that the board secretary
must file the consent with the meeting minutes.
